Term: 1 - ORIGIN
Newark, NJ; Baltimore, MD; Jacksonville, FL; Miami, FL.

Term: 2 - DESTINATION
Vitoria & Santos, Brazil; Buenos Aires, Argentina;
Buenaventura, Colombia; Iquique, Chile; San Antonio/
Valparaiso, Chile (either/or in CARRIER's option); and
Callao, Peru.  Montevideo, Uruguay is also a discharge
port, however cargo to this port is subject to
transhipment at CARRIER's option.

Term: 3 - COMMODITIES
Unused pleasure boats manufactured by SHIPPER and/or its
affiliated companies.

Term: 4 - MINIMUM QUANTITY OR PORTION
SHIPPER agrees to provide CARRIER with at least 70 %
(seventy percent) of the boats that it ships.

Term: 8 - DURATION OF THE CONTRACT
JUNE 14, 1999 THROUGH OCTOBER 31, 1999
