Term: 2 - DESTINATION
SOUTH AMERICA AND PANAMNA

Term: 3 - COMMODITIES
TYPE 1 - Agricultural planting, cultivating, and
         harvesting Machinery, including but not
         limited to, Tractors, Combines, Cotton Pickers,
         Sprayers, Sugar Cane Harvesting Machines,
         Coffee Bean Harvesting Machines, Balers, that
         are rollable, towable or self-propelled, along
         with accompanying parts and attachments.
TYPE 2 - Road building and Construction Machinery
         including but not limited to Wheel Loaders, Skid
         Steer Loaders, Trenchers, Loader Backhoes,
         Crawler Tractors, Fork Lift Trucks, Excavators,
         that are towable, rollable, or self-propelled
         along with accompanying parts and attachments.

Term: 4 - MINIMUM QUANTITY OR PORTION
The SHIPPER has provided to CARRIER its estimates of
commodities to be shipped.  SHIPPER agrees to provide
CARRIER with at least 80% of the commodities that it
controls from the United States to South America during
the term of this Agreement.

Term: 8 - DURATION OF THE CONTRACT
September 24, 1999 thru September 23, 2000
