Dammam, Kingdom of Saudi Arabia.

Term: 3 - COMMODITIES
Group 1 - Buses, Self Propelled  (not to exceed a total
          of 80 cbm/each).
Group 2 - Cars/Vans, Self Propelled (under 2.20 meters
          in height).

Term: 4 - MINIMUM QUANTITY OR PORTION
The Shipper has provided to Carrier its estimates of
commodities to be shipped.  Shipper agrees to provide
Carrier with at least 90% of the commodities that it
ships from New York to Dammam, Kingdom of Saudi Arabia
during the term of this Agreement.

Term: 8 - DURATION OF THE CONTRACT
This Agreement shall be for a 24 month period commencing
October 1, 1999 Through September 30, 2001.
